1 |PURPOSE AND ARCHITECTURE

Purpose of this document

This Candidate Information Package is provided to individuals who have expressed continuing interest in participating in CON2 - the Research & Evaluation Consortium - and who have reached Candidate Stage #1. It is intended to give every candidate the same clear basis for deciding whether to proceed to Candidate Stage #2 - Application & Motivation.

It explains the role, independence, expected time commitment, research and collaboration opportunities, compensation principles, confidentiality and conflicts, regional organization, and the candidate process leading toward formal CON2 membership and regional formation.

What is the Tri-Alliance?

The Tri-Alliance is a governance architecture established to maintain clear separation among three different functions:

Global Integrated Care International (GIC) — develops, presents, commercially operates and deploys systems, services and modules.
CON2 — Research & Evaluation Consortium — independently researches, examines, challenges and evaluates proposals, evidence, assumptions, risks and alternatives.
CON1 — Governance Review Consortium — independently reviews matters submitted following CON2 evaluation and determines whether to endorse, condition or decline them within the Tri-Alliance governance framework.

Neither CON1 nor CON2 assumes ownership or operational control of GIC through participation in the Tri-Alliance. Participation does not create a procurement or purchasing obligation.

Institutional architecture

GIC, an incorporated Canadian company, is the initiating organization of the Tri-Alliance architecture and is the issuer of this Candidate Information Package.

Tri-Alliance International Inc., federally incorporated in Canada as a not-for-profit corporation, forms part of the institutional architecture supporting the Tri-Alliance’s international governance activities, including the global CON1 structure. Its incorporation does not alter the functional separation among GIC, CON1 and CON2 or transfer GIC’s commercial responsibilities to the Tri-Alliance corporation.

2 |CON2 ROLE

What is CON2?

CON2 is the Research & Evaluation Consortium. It is intended to bring together independent multidisciplinary expertise relevant to the examination of real-world systems, services, technologies and governance questions.

Relevant expertise may include healthcare and care delivery; medicine and clinical practice; law and regulation; artificial intelligence and technology; cybersecurity and data governance; ethics and human rights; public policy; research and academia; risk, compliance and assurance; social sciences; and other disciplines relevant to the matter under examination.

CON2 is not restricted to evaluating GIC-originated matters. Its research and evaluation activities may extend to other appropriate subjects consistent with its purpose and governance framework.

Constitutional sequence

  1. GICPRESENTS
  2. CON2EVALUATES & SUBMITS
  3. CON1REVIEWS & DETERMINES
  4. GICDECIDES WHETHER AND HOW TO COMMERCIALLY DEPLOY

NO CON2 SUBMISSION → NO CON1 REVIEW.

What would a CON2 member actually do?

  • Review proposals, evidence and supporting materials; examine assumptions and methodologies.
  • Identify risks, weaknesses, omissions and unintended consequences; propose alternatives.
  • Participate in research, evaluation and collective discussion; contribute specialist knowledge and professional experience.
  • Identify matters requiring additional evidence or investigation and contribute to conclusions or submissions intended for CON1 consideration.
  • Preserve independent professional judgment throughout the process.

3 |INDEPENDENCE AND INITIATIVE

Member-initiated ideas, concepts and research

CON2 participation is not intended to be purely reactive. Members are encouraged to bring forward their own ideas, concepts, research questions, alternative approaches and proposals for consideration, in addition to matters presented or coordinated through the Regional Administrator.

Member-originated proposals may identify emerging needs, new research questions, potential risks, opportunities for improvement, alternative technical or governance approaches, subjects deserving independent evaluation, or potential areas for international or multidisciplinary collaboration.

Submission of an idea or concept does not itself constitute adoption, endorsement, funding or authorization. Appropriate proposals may proceed through the applicable CON2 evaluation and governance processes.

Independence and the right to challenge

CON2 members must remain free to reach conclusions based upon evidence and professional judgment. A member may identify unacceptable risk, challenge assumptions, request additional evidence, propose modifications, recommend an alternative approach, or decline to support a conclusion.

What CON2 membership is not

  • Employment by GIC or, by itself, a salaried position or consultancy engagement.
  • Representation of GIC or an obligation to agree with GIC.
  • Ownership or operational control of GIC.
  • A commitment to purchase GIC products or services.
  • Authority to bind GIC, CON1, CON2 or another participant.

A member does not speak on behalf of GIC, CON1, another CON2 member or the Tri-Alliance collectively unless specifically authorized to do so.

4 |PARTICIPATION AND PROFESSIONAL ENGAGEMENT

Expected time commitment

Normal CON2 participation is presently expected to average approximately 3-5 hours per month. Participation will not necessarily be distributed evenly from month to month. Activity may increase temporarily when, for example, a particular module is being evaluated, a regional discussion is required, or a member voluntarily undertakes additional research or collaborative work.

CON2 membership is intended to be compatible with members' existing professional responsibilities and is not initially intended as a full-time or continuing daily commitment. The actual time required will depend upon the number, nature and complexity of matters under consideration and upon the member's field of expertise.

Compensation and possible expanded engagement

Ordinary CON2 membership is presently structured as unpaid professional participation.

This does not exclude GIC or another appropriate Tri-Alliance entity from offering a member a separate paid non-employment engagement for defined research, advisory, project or other work. Any such engagement would be separately agreed between the parties and would not arise automatically from CON2 membership.

The initial level of participation also does not exclude the possibility that, by mutual interest, a member's involvement may later evolve into a more substantial part-time, full-time or continuing paid commitment. Any expanded arrangement would have separately defined responsibilities and terms acceptable to both parties, and would be structured so that it does not compromise the member's independent CON2 judgment.

Substantial commissioned research, defined project work, approved travel or other responsibilities materially beyond normal CON2 membership may similarly be separately agreed and compensated.

Research and collaboration opportunities

  • Examine real modules and governance problems.
  • Participate in independent research and evaluation.
  • Exchange knowledge across disciplines and jurisdictions.
  • Collaborate on member-originated research questions or concepts.
  • Participate, where appropriate, in demonstrations, forums, pilots or structured evaluations.
  • Contribute evidence for CON1 governance review.

Participation does not guarantee publication, funding, commercial opportunity, employment or any predetermined research outcome.

5 |REGIONS, ADMINISTRATION AND SAFEGUARDS

Regional architecture and administration

CON2 is organized across six geographic regions:

NORTH AMERICA SOUTH AMERICA EUROPE ASIA OCEANIA AFRICA

Candidates are ordinarily considered in relation to the region most appropriate to their principal location, experience or intended contribution.

Each region is intended to have a Regional Administrator responsible for defined coordination and administrative functions. The Regional Administrator may facilitate communications, scheduling, documentation and orderly regional processes.

Regional Administrator information: https://tri-alliance.ai/con2-regional-administrator.html

Confidentiality, conflicts of interest and NDA

Candidates and members are expected to disclose relevant professional, financial, institutional or other interests that could reasonably affect - or appear to affect - their independence in relation to a matter under consideration.

CON2 participation does not automatically require every Stage #1 candidate to execute a Non-Disclosure Agreement. However, an NDA or other confidentiality arrangement may be required before access is provided to non-public, proprietary, commercially sensitive or otherwise protected information.

Where a CON2 member also undertakes separately compensated work, that relationship must be appropriately disclosed and structured so that it does not compromise independent CON2 judgment.

Term, withdrawal and formal membership

Receipt of this Candidate Information Package does not establish formal membership. The applicable term of appointment, continuation, resignation or withdrawal provisions, conflicts requirements and other formal participation conditions will be addressed through the governing CON2 documentation applicable at the time of appointment.

No individual becomes a CON2 member merely through correspondence or participation in the candidate process. Formal appointment occurs only upon completion of the applicable selection and formalization process.

6 |APPLICATION AND NEXT STEPS

Application / Motivation — Candidate Stage #2

Candidates wishing to proceed after reviewing this package are invited to submit their Application / Motivation while applications remain open. Applications are considered in the order received until GIC has filled the available regional participation quotas.

The submission should be concise and address:

  • Professional background and principal areas of relevant expertise.
  • Why participation in CON2 is of interest.
  • The contribution or perspective the candidate believes they could bring.
  • Any particular research questions, ideas or areas of interest the candidate may wish to explore.
  • Relevant affiliations or potential conflicts that should be disclosed.
  • Confirmation that the candidate understands and accepts the principle of independent CON2 judgment.

A lengthy formal application is not required at this stage.
