TRI-ALLIANCE INTERNATIONAL INC.
CON1Candidate InformationGovernance Review Consortium
Your institution’s judgment could help decide how AI-enabled services affecting people’s lives earn public trust.
Under the proposed framework, CON1 would bring together independent institutions — public bodies, international organizations, civil society, professional bodies, research institutions and qualified corporations — to review the evidence CON2 submits and reach their own determination.
If your institution values careful, independent review, and is prepared to say so when the evidence falls short, we welcome its interest.
Status: CON1 as described here belongs to a proposed framework that has not yet been adopted. Founding Charter v2.0 and Manifesto 5.0 remain the governing texts. No CON1 Member has yet been admitted.

This page gives prospective CON1 candidates a common basis of information. Reading it, or expressing interest, does not constitute admission, appointment, selection, employment or endorsement. Naming an institutional category does not mean that any particular organization has joined CON1 or endorsed GIC.
0 |STATUS OF THE GOVERNING DOCUMENTS
In October 2026, GIC proposed broadening CON1 so that its defining requirement is independent institutional judgment rather than governmental identity alone, and renaming it the Governance Review Consortium. Revised governing documents — Founding Charter v2.1 and Manifesto 5.1 — are being prepared and have not yet been adopted. Until they are, Founding Charter v2.0 and Manifesto 5.0, which use the earlier name “Governmental Review Consortium”, remain the governing texts: Founding Charter v2.0 · Manifesto 5.0.
On this page, each rule is marked: Charter v2.0 for provisions of the Founding Charter v2.0 in force; Proposed — not yet adopted for provisions of the proposed v2.1; and Decision pending where no decision has yet been taken.
1 |PURPOSE AND PLACE IN THE TRI-ALLIANCE
The Tri-Alliance is a governance architecture that keeps three functions separate:
The institutional framework. Tri-Alliance International Inc., a not-for-profit corporation incorporated on September 29, 2026 under the Canada Not-for-profit Corporations Act (corporation no. 1827721-4), is intended to be the institutional framework within which GIC, CON2 and CON1 are aligned as three distinct constitutional components, legally and constitutionally independent from GIC. CON1 and CON2 are not separate corporations, and the framework is not a fourth party in the constitutional sequence. Implementing provisions pending The provisions of the corporation’s articles, by-laws and the Charter that implement this relationship and independence are being reconciled.
GIC → PRESENTS · CON2 → EVALUATES & SUBMITS · CON1 → REVIEWS & DETERMINES · GIC → DECIDES WHETHER AND HOW TO COMMERCIALLY DEPLOY
NO CON2 SUBMISSION → NO CON1 REVIEW.
Charter v2.0
AI CAPABILITY IS NOT AI AUTHORITY.
2 |WHAT CON1 DOES — INDEPENDENT REVIEW
CON1 reviews only qualifying matters submitted through CON2; it does not replace CON2’s research and evaluation. Charter v2.0
Quorum, voting and what a determination does — and does not — mean
A CON1 determination is reached through the Charter’s quorum and voting machinery: quorum requires at least two-thirds of the applicable CON1 membership and at least five Members; ENDORSEMENT, CONDITIONAL ENDORSEMENT or DECLINE requires 75% of participating entitled voters; otherwise the result is NO DETERMINATION / FURTHER REVIEW. Charter v2.0
GIC may present, answer and respond, but has voice and no vote in the determination of its own submission. Evidence informs a determination; it does not itself constitute the determination. Charter v2.0
A determination is not a warranty of risk-free operation, a transfer of GIC’s responsibility, or permission to disregard applicable law; the Charter does not place anyone above applicable law. Charter v2.0 A determination would also not be a governmental, regulatory, licensing or legal approval, even where governmental Members take part. Proposed — not yet adopted
3 |WHO MAY APPLY — AND IN WHAT CAPACITY
Under the proposed broadened framework, institutions from the following categories may be considered for CON1 Membership: Proposed — not yet adopted
- governments and public institutions;
- international and multilateral organizations;
- NGOs and civil-society organizations;
- professional bodies;
- research institutions;
- qualified corporations, including for example telecommunications, internet-infrastructure and AI technology providers;
- other qualified institutions, subject to the same independence, competence and conflict-of-interest criteria as the named categories. Proposed — not yet adopted
Naming an institutional category does not reserve a seat for it or allocate seats among categories. Whether any category will be reserved, capped or required is Decision pending.
Eligibility is not admission. Belonging to an eligible category does not by itself confer admission, voting authority or endorsement. Admission follows the applicable admission requirements. Charter v2.0 (Charter v2.0 §13.1)
| Capacity | Meaning |
|---|---|
| Institution | The organization that may become a Member. CON1 Membership is institutional. Charter v2.0 Proposed — not yet adopted |
| Authorized representative | The person an institution designates to speak and act for it, only within the mandate the institution has authorized. Charter v2.0 Any vote belongs to the institution, not to the representative; personal observations are distinguished from authorized institutional positions; and no representative may speak for CON1 collectively without express authorization. Proposed — not yet adopted Each Member institution designates its principal representative in writing and may designate one authorized substitute; there is one vote per institution, which the principal and substitute cannot exercise separately. Designations and changes are recorded by the Constitutional Secretariat. A temporary substitution may last no longer than two consecutive calendar months, after which the institution confirms the principal’s return or designates a new principal; otherwise the Regional Administrator records the lapse and refers the matter to the admitting authority. Proposed — not yet adopted |
| Individual contributor | A person (for example an expert) who may contribute to an authorized activity without Membership or voting authority. Decision pending |
| Candidate | An institution that has expressed interest or applied. A candidate is not a Member. |
| Participant | Takes part in an authorized activity without Membership or voting authority. Charter v2.0 |
| Formally appointed Member | An institution formally admitted to CON1. No CON1 or CON2 Member has yet been formally admitted. |
MEMBER ≠ PARTICIPANT ≠ PARTNER. Membership does not constitute partnership. Charter v2.0
4 |INDEPENDENCE, CONFLICTS, RECUSAL AND REPRESENTATION
Membership does not require agreement with GIC. No financial, contractual, political or institutional relationship entitles one Member to dictate another’s vote. Material actual, potential or perceived conflicts are disclosed and managed: DISCLOSURE → MANAGEMENT → RESTRICTION → RECUSAL. Charter v2.0
The architecture resists domination by any single government, jurisdiction, region, corporation, funder, research institution, provider, political or commercial interest, individual or AI provider. Charter v2.0
Additional safeguards under consideration (proposed — not yet adopted)
Under consideration as additional safeguards for a broadened CON1 — none of these is adopted: Proposed — not yet adopted
- disclosure and recusal where a Member competes with GIC, supplies the technology, model, infrastructure or service under review, has a customer, funding, licensing or employment relationship with GIC, or took part in the CON2 evaluation of the same matter;
- limits on access to competitively sensitive information, with compliance with competition law;
- no Membership, voting weight or influence acquired through funding, sponsorship, procurement, investment or supplier status;
- ineligibility of GIC, its affiliates, officers, directors and controlling investors;
- plurality rules — a cap on any single institutional category and voting-diversity requirements;
- restrictions on holding voting Membership in both CON1 and CON2 in the same region.
5 |RESPONSIBILITIES AND LIMITS OF AUTHORITY
CON1 Members are expected to review submitted evidence, dissent and unresolved concerns in good faith; disclose conflicts; respect confidentiality, privacy, security and intellectual-property obligations; preserve material dissent; and not falsify evidence, misrepresent authority or manufacture votes. Charter v2.0
Limits of authority: ownership, control and operational systems
Membership does not transfer equity, ownership, intellectual property, revenues, management rights or corporate control over GIC, and does not create procurement, guarantee or commercial partnership. Charter v2.0
CON1 standing confers no operational control over GIC systems, including the GIC Gateway and its runtime governance controls; operational controls remain GIC’s responsibility. Proposed — not yet adopted
6 |REGIONAL ORGANIZATION AND PARTICIPATION LIMITS
The founding framework comprises six regions — North America, South America, Europe, Africa, Asia and Oceania — each with its own CON1 and CON2 under the same Charter. Membership in one region does not automatically confer voting authority in another, and different regional determinations may coexist. Charter v2.0
Each continental CON1 comprises no more than ten institutional Members. Representatives, substitutes and Administrators do not occupy additional places. This limit does not change the existing quorum and voting thresholds (Charter v2.0 §6.7, set out in section 2 above), and does not decide any allocation among institutional categories. Proposed — not yet adopted
7 |ADMISSION, CANDIDATE STAGES AND FORMAL APPOINTMENT
Admission authority. Under the proposed revisions, the board of Tri-Alliance International Inc. would decide initial and subsequent CON1 admissions against published criteria. The Constitutional Secretariat would verify application completeness, the representative’s institutional mandate and conflict disclosures, and record each decision with its reasons. Conflicted decision-makers would recuse. Admission is distinct from CON1’s substantive determinations. Proposed — not yet adopted
A reconsideration procedure for admission decisions has been proposed for review, and the corporate provisions implementing the admission function have not yet been decided.
Admission criteria. An institution must demonstrate: verifiable institutional identity and an authorized representative; relevant competence for independent governance review; capacity for independent judgment, including adverse conclusions; disclosure and management of material conflicts; sufficient participation capacity, continuity and resources; and commitment to the Charter, confidentiality, evidence integrity and the preservation of dissent. Regional relevance and institutional diversity are considered under composition rules still to be approved. Funding the Tri-Alliance, purchasing services or agreeing with GIC gives no entitlement to admission. Proposed — not yet adopted
The CON1 candidate stages leading to formal appointment have not yet been defined. The CON2 stages do not apply to CON1.
8 |TERM, WITHDRAWAL, CONFIDENTIALITY, TIME AND COMPENSATION
Withdrawal does not ordinarily erase prior valid participation, votes, determinations, continuing confidentiality obligations or historical records. Suspension may not be imposed merely for criticism, dissent or opposition to GIC; removal requires established cause through a documented, impartial process. Members respect lawful confidentiality obligations. Charter v2.0
These have not yet been decided for CON1. Detailed Membership terms will be set out in subordinate instruments (Charter v2.0 §7.16).
8A |THE CONSTITUTIONAL SECRETARIAT
A professionally competent and procedurally neutral Constitutional Secretariat administers, records, preserves and verifies procedure — including Membership, quorum, conflict, voting, determination and dissent records — without becoming another governing body. It may verify procedure but may not substitute its judgment for the authority of CON1, CON2 or GIC. Charter v2.0
The Constitutional Secretariat is housed exclusively within Tri-Alliance International Inc. It serves CON1 and CON2, functions independently of GIC, and is the administrative home of the CON1 and CON2 Administrators, including the Regional Administrators. It is not a fourth governing party, and it holds the authoritative CON1 and CON2 institutional records; authorized Members retain appropriate access. GIC may submit evidence, respond to questions and receive appropriate procedural communications through the Secretariat, and may retain its own submissions, correspondence and authorized copies of determinations communicated to it, without acquiring control over Secretariat administration or the institutional records. Any staff, funding or facilities provided by GIC are disclosed and confer no control. Proposed — not yet adopted
Secretariat details: neutrality, Ottawa coordination and funding
Initially, a central Administrator of Tri-Alliance International Inc. is based in Ottawa within the Secretariat, coordinating with the CON1 and CON2 Administrators across the six regions, including regional budgets, consolidated financial reporting, rolling forecasts and preparation for external audit. Proposed — not yet adopted
Funding. The Tri-Alliance may be funded through donations, GIC contributions and revenue from research and evaluation services provided through CON2 to third parties. No payment purchases Membership, voting rights, a favourable conclusion or endorsement. Each continental body keeps identifiable financial records (December 31 year-end), prepares its budget by October 31 for consolidation, and regional results are consolidated annually, with the annual consolidated financial statements subject to an independent external audit. Proposed — not yet adopted
A CON1 Regional Administrator coordinates and verifies procedure for the regional CON1 body. Administrative office does not itself confer CON1 Membership or voting rights, or any part in the determination. (Whether an Administrator may also hold voting Membership is a separate Decision pending.) CON1 Regional Administrator — role information.
These have not yet been decided; proposals are under review. GIC appointment or direction is not inferred from GIC’s founding role.
9 |WHAT CON1 IS NOT
- Not an approval body for GIC, and not obliged to agree with GIC.
- Not a regulator, licensing authority or court, and not a substitute for applicable law.
- Not an owner, operator or controller of GIC or its systems.
- Not a partnership: MEMBER ≠ PARTICIPANT ≠ PARTNER.
- Not a body in which any participant may dominate.
10 |HOW TO EXPRESS INTEREST
Deadline — Open. Applications are considered in the order received. Receipt of an application does not imply admission. Under proposed revisions to the Founding Charter (v2.1, not yet adopted), CON1 admissions would be decided by the board of Tri-Alliance International Inc. against published criteria, with the Constitutional Secretariat verifying applications and recording each decision. No CON1 Member has yet been admitted. Proposed — not yet adopted
Institutions interested in being considered for CON1 may write to president@tri-alliance.ai, subject line “CON1 — Expression of interest” (see also Applications Now Open), stating the institution, its category, its region, and the person authorized to correspond on its behalf.
